Terms of Service

1. Introduction

Welcome to the Positron Network. These Terms of Service ("Terms") govern your access to and use of the Positron Network platform, including any websites, mobile applications, and services (collectively, the "Service") operated by Positron Network Foundation ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

2. Definitions

"Content" means any information, text, graphics, photos, or other materials uploaded, downloaded, or appearing on the Service.

"User" means any individual who accesses or uses the Service.

"Organization" means any nonprofit, charity, research institution, or other entity that creates a profile on the Service.

"Project" means any campaign, initiative, or activity created by an Organization on the Service.

"Node" means an instance of the Positron Network platform operated by an Organization or individual.

3. Account Registration and Eligibility

To access certain features of the Service, you must register for an account. When you register, you must provide accurate and complete information. You are responsible for maintaining the security of your account and password. We cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you are at least 18 years old.

4. Organization Accounts

Organizations that register on the Service must be legitimate nonprofit organizations, research institutions, or other entities with a social impact mission. Organizations must provide accurate information about their legal status, mission, and activities.

Organizations are responsible for all Content they post on the Service, including project descriptions, impact claims, and fundraising appeals. Organizations must ensure that all Content is accurate, not misleading, and complies with applicable laws and regulations.

5. Federation and Node Operation

The Positron Network is a federated network of nodes. Organizations and individuals may operate their own nodes, which can connect to other nodes in the network.

Node operators are responsible for complying with all applicable laws and regulations in their jurisdiction. Node operators must implement appropriate security measures to protect user data and ensure the integrity of the network.

We reserve the right to disconnect any node from the network if it violates these Terms or poses a security risk to the network.

6. Token System

The Positron Network may include a token system for governance, incentives, and other purposes. The use of tokens is subject to additional terms and conditions, which will be provided when tokens are made available.

Tokens are not securities and do not represent ownership in any entity. Tokens are utility tokens designed to facilitate network governance and incentivize positive contributions to the network.

7. DAO Governance

The Positron Network may include decentralized autonomous organization (DAO) features for governance. Participation in DAO governance is subject to additional terms and conditions, which will be provided when DAO features are made available.

DAO governance decisions are binding on all participants who have opted into the DAO governance system. We are not responsible for the outcomes of DAO governance decisions.

8. Content and Conduct

You retain ownership of any Content you submit, post, or display on or through the Service. By submitting, posting, or displaying Content on or through the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such Content in any and all media or distribution methods.

You agree not to post Content or engage in conduct that:

• Violates any applicable law or regulation
• Infringes on the rights of others
• Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable
• Jeopardizes the security of your account or the Service
• Attempts to impersonate another person or entity
• Interferes with the proper functioning of the Service

9. Privacy

Our Privacy Policy, available at /privacy-policy, describes how we collect, use, and share information about you when you use the Service. By using the Service, you agree to the collection, use, and sharing of your information as described in the Privacy Policy.

10. Termination

We may terminate or suspend your account and access to the Service at any time, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that the Service will function uninterrupted, secure, or available at any particular time or location, or that any errors or defects will be corrected.

12. Limitation of Liability

In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

13. Indemnification

You agree to defend, indemnify, and hold harmless Positron Network Foundation and its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

15. Governing Law

These Terms shall be governed and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
